1. ACCEPTANCE OF TERMS
1.1 Binding Agreement
By accessing, browsing, registering an account, downloading assets, or otherwise using any part of the Asset Library platform (hereinafter referred to as the “Platform”), you expressly acknowledge, understand, and agree that you are entering into a legally binding agreement with Asset Library. This agreement governs your use of all services, content, features, and functionalities provided by the Platform.
This Terms of Service Agreement is enforceable under applicable laws, including but not limited to the Indian Contract Act, 1872, which governs agreements formed through offer, acceptance, and lawful consideration. Your use of the Platform constitutes valid acceptance of these terms and establishes a legally enforceable contract between you and Asset Library.
1.2 Acceptance Through Conduct
Your continued use of the Platform, including but not limited to downloading assets, browsing content, or interacting with any features, shall be deemed as your explicit consent to be bound by these Terms. Even in the absence of formal registration, your access to the Platform signifies acceptance of this Agreement.
If at any time you disagree with any part of these Terms, you are required to immediately discontinue all use of the Platform and any assets obtained from it, subject to applicable licensing terms.
1.3 Electronic Record Recognition
This Agreement constitutes an electronic record under the provisions of the Information Technology Act, 2000, and the applicable rules thereunder. It is generated by a computer system and does not require any physical or digital signatures for validity and enforceability.
The enforceability of this Agreement shall remain intact regardless of the medium through which it is accepted, including web interface, mobile interface, or API-based access.
2. DEFINITIONS AND INTERPRETATION
2.1 Definition of Platform
The term “Platform” refers to the Asset Library website, its associated domains, subdomains, applications, APIs, databases, servers, and any other technical infrastructure used to deliver services to users.
2.2 Definition of User
A “User” refers to any individual, company, organization, or legal entity that accesses, browses, registers, or interacts with the Platform in any capacity, whether as a free user or a paying subscriber.
2.3 Definition of Assets
“Assets” include, but are not limited to, all digital downloadable content made available through the Platform. This includes 3D models, textures, HDRIs, materials, shaders, scripts, plugins, scene files, and any other digital creative resources.
2.4 Definition of License
A “License” refers to a limited, non-exclusive, non-transferable, revocable right granted to the User to use specific Assets under the terms and restrictions outlined in this Agreement.
2.5 Interpretation Clause
Headings and section titles are provided for convenience only and shall not affect the interpretation of this Agreement. Any ambiguity shall be interpreted in a manner that protects the rights and interests of Asset Library.
3. ELIGIBILITY AND LEGAL CAPACITY
3.1 Minimum Age Requirement
Users must be at least thirteen (13) years of age or meet the minimum legal age requirement as per their jurisdiction to access and use the Platform. If a user is below the age of majority, they must use the Platform under the supervision of a parent or legal guardian.
3.2 Legal Capacity to Contract
By agreeing to these Terms, you represent and warrant that you have the legal capacity to enter into a binding agreement under applicable laws. If you are using the Platform on behalf of an organization or entity, you further represent that you have the authority to bind such entity to these Terms.
3.3 Compliance with Laws
Users agree to comply with all applicable laws, regulations, and legal obligations, including but not limited to intellectual property laws, cyber laws, and export regulations. Any use of the Platform in violation of such laws is strictly prohibited.
4. ACCOUNT REGISTRATION AND SECURITY
4.1 Requirement for Accurate Information
When creating an account, Users are required to provide accurate, complete, and up-to-date information. Providing false, misleading, or incomplete information may result in suspension or termination of the account without prior notice.
4.2 Responsibility for Account Security
Users are solely responsible for maintaining the confidentiality of their account credentials, including username and password. Any activity conducted through the User’s account shall be deemed to have been carried out by the User.
4.3 Unauthorized Access and Liability
In the event of unauthorized access or suspected security breach, Users must immediately notify Asset Library. However, Asset Library shall not be held liable for any loss or damage arising from unauthorized access resulting from the User’s failure to secure their credentials.
4.4 Right to Suspend or Terminate Accounts
Asset Library reserves the right to suspend, restrict, or terminate any account at its sole discretion if it determines that the User has violated these Terms, engaged in fraudulent activities, or misused the Platform in any manner.
5. LICENSE GRANT AND USAGE RIGHTS
5.1 Nature of License
All Assets made available on the Platform are licensed, not sold. The User is granted a limited right to use the Assets subject to compliance with these Terms. Ownership and intellectual property rights remain with Asset Library or the original creators.
5.2 FREE ASSETS LICENSE
- 5.2.1 Personal Use Rights: Users are permitted to use free Assets in personal, non-commercial projects without any restriction, provided such use complies with the conditions outlined in this Agreement.
- 5.2.2 Commercial Use Rights: Users may incorporate free Assets into commercial projects, including but not limited to video games, films, animations, advertisements, and client work. However, such use must be part of a larger project and not constitute resale of the asset itself.
- 5.2.3 Modification and Derivative Works: Users are allowed to modify, adapt, and transform Assets to suit their project requirements. However, such modifications do not grant ownership rights over the original Asset.
- 5.2.4 Restriction on Redistribution: Users are strictly prohibited from redistributing, sharing, sublicensing, or making the Assets available to third parties in any form, whether modified or unmodified.
- 5.2.5 Prohibition on Resale: Assets cannot be sold, rented, leased, or otherwise commercialized as standalone products, whether individually or as part of a bundle.
- 5.2.6 Attribution Policy: Attribution is not mandatory; however, Users are encouraged to credit Asset Library as a professional courtesy.
5.3 PREMIUM / SUBSCRIPTION ASSETS LICENSE
- 5.3.1 Access Conditions: Premium Assets are accessible only to Users who have purchased them or maintain an active subscription. Access rights are conditional and may be revoked upon expiration of subscription.
- 5.3.2 Commercial Usage Rights: Users are permitted to use premium Assets in commercial projects, provided their license remains valid at the time of use.
- 5.3.3 Restrictions on Sharing: Premium Assets may not be shared, distributed, or accessed by individuals who do not hold a valid license.
- 5.3.4 Post-Subscription Limitations: Upon expiration or cancellation of subscription, continued use of Assets may be restricted unless explicitly allowed under the license terms.
- 5.3.5 Strict Anti-Piracy Clause: Any attempt to distribute, leak, or pirate premium content will result in immediate termination and may lead to legal action under applicable laws.
6. INTELLECTUAL PROPERTY RIGHTS
6.1 Ownership of Content
All Assets, trademarks, logos, and content available on the Platform are protected under the Copyright Act, 1957 and applicable international intellectual property laws.
6.2 No Transfer of Ownership
Downloading or using Assets does not transfer ownership or copyright to the User.
6.3 Legal Consequences of Infringement
Unauthorized use, copying, or distribution may result in civil and criminal penalties, including damages and injunctions.
7. USER CONDUCT AND COMMUNITY STANDARDS
7.1 Expected Behavior
Users are expected to maintain professionalism, respect, and ethical conduct while using the Platform.
7.2 Prohibited Activities
- Harassment or abuse of other users.
- Engaging in illegal activities via the platform.
- Content theft or unauthorized scrapers.
- Hacking attempts or infrastructure disruption.
- Any form of misuse of the Platform's resources.
7.3 Enforcement Actions
Asset Library reserves the right to remove content, restrict access, or take legal action against violators.
8. DISCLAIMER OF WARRANTIES
8.1 “AS-IS” BASIS
All Assets and services are provided on an “as-is” and “as-available” basis without warranties of any kind, either express or implied.
8.2 No Guarantee of Performance
Asset Library does not guarantee that Assets will be error-free, compatible, or suitable for specific use cases or technical environments.
8.3 User Responsibility
Users are solely responsible for testing and validating Assets before using them in production environments.
9. LIMITATION OF LIABILITY
9.1 Exclusion of Damages
Asset Library shall not be liable for indirect, incidental, or consequential damages arising from use of the Platform, including loss of data or profit.
9.2 Liability Cap
Total liability shall not exceed the amount paid by the User, if any, for the specific asset or service in question.
10. INDEMNIFICATION
10.1 User Obligation
Users agree to indemnify and hold Asset Library harmless from any claims, damages, or legal actions arising from misuse of the Platform or violation of these Terms.
11. GOVERNING LAW AND JURISDICTION
11.1 Applicable Law
These Terms are governed by the laws of India.
11.2 Jurisdiction
All disputes shall be subject to the exclusive jurisdiction of the courts located in your operational region.
12. TERMINATION
12.1 Termination Rights
Asset Library reserves the right to terminate access at any time for violations of these terms or at its sole discretion.
12.2 Survival Clause
Provisions relating to intellectual property, liability, and indemnification shall survive termination of this agreement.
13. FORCE MAJEURE
13.1 Unforeseeable Events
Asset Library shall not be liable for delays or failures caused by events beyond its control, including natural disasters, cyberattacks, or governmental actions.
14. ENTIRE AGREEMENT
14.1 Complete Agreement
This document constitutes the entire agreement between the User and Asset Library regarding the use of the Platform.
14.2 Severability
If any provision is deemed invalid or unenforceable, the remaining provisions shall remain in full force and effect.
