1. INTRODUCTION AND LEGAL ACCEPTANCE
1.1 Binding Legal Contract
This Asset License Agreement (“Agreement”) is a legally binding and enforceable contract between you (“User,” “you,” or “your”) and Asset Library (“we,” “our,” or “us”). This Agreement governs your access to, download of, and use of all digital assets provided through the Asset Library platform.
By downloading, accessing, or using any asset from Asset Library, you expressly acknowledge that you have read, understood, and agreed to be bound by all terms of this Agreement. This Agreement is enforceable under applicable laws, including but not limited to the Indian Contract Act, 1872, the Copyright Act, 1957, and applicable international intellectual property laws.
If you do not agree to these terms, you must immediately cease all use of the platform and any downloaded assets.
1.2 Legal Validity and Electronic Enforcement
This Agreement constitutes a valid electronic contract under the Information Technology Act, 2000, and shall be enforceable without the need for physical or digital signatures. Your actions, including downloading or using assets, constitute full legal acceptance of this Agreement.
2. LICENSE GRANT AND OWNERSHIP
2.1 Limited License Grant
Subject to full compliance with this Agreement, Asset Library grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to use the assets solely for permitted purposes.
This license is conditional and may be revoked at any time upon breach of this Agreement.
2.2 Absolute Ownership Retention
All assets remain the exclusive intellectual property of Asset Library or its licensors. No ownership rights, copyrights, or proprietary interests are transferred to the User under any circumstances.
2.3 No Implied Rights
No rights are granted except those explicitly stated in this Agreement. Any use not expressly permitted is strictly prohibited.
3. PERMITTED USE (STRICTLY LIMITED)
3.1 Personal and Commercial Integration
You may use assets in personal and commercial projects only when they are integrated into a larger, value-added work such as games, films, applications, or client deliverables.
The asset must never be the primary value of the distributed product.
3.2 Modification Rights with Restrictions
You may modify assets for use in your projects; however, such modifications do not create new ownership rights. All modified versions remain fully governed by this Agreement.
3.3 Secure Use Requirement
You are required to use assets in a manner that prevents extraction, copying, or unauthorized access by third parties. Failure to secure assets may be treated as a violation of this Agreement.
4. STRICT PROHIBITIONS AND ZERO-TOLERANCE VIOLATIONS
4.1 Absolute Ban on Redistribution
Under no circumstances may you distribute, share, sublicense, or transfer assets to any third party. This includes both free and premium assets, whether modified or unmodified.
Any form of public or private sharing, including cloud storage, messaging platforms, or internal team distribution without proper licensing, constitutes a direct violation.
4.2 Commercial Exploitation Ban
You are strictly prohibited from selling, licensing, or distributing assets as standalone products or as part of any asset collection, bundle, or marketplace offering.
4.3 Anti-Piracy and Leak Clause
Any unauthorized sharing, leaking, or piracy of assets will be treated as willful intellectual property infringement. Asset Library reserves the right to initiate legal proceedings, including civil and criminal action.
Users found engaging in piracy may be subject to financial penalties, legal damages, and permanent bans.
4.4 AI and Dataset Restriction
Assets may not be used for training artificial intelligence models, machine learning systems, or dataset generation under any circumstances without explicit written authorization.
4.5 NFT and Blockchain Prohibition
Assets may not be used, minted, or distributed in NFTs, blockchain systems, or tokenized marketplaces.
4.6 Multi-User and Team Misuse Restriction
Each license is granted to a single user only. Use within teams, studios, or organizations requires separate licenses per individual.
Unauthorized internal sharing is considered a violation equivalent to public redistribution.
4.7 Reverse Engineering and Extraction Ban
You may not attempt to extract, reverse engineer, or recover original asset files from compiled or embedded formats for reuse or distribution.
5. FINANCIAL LIABILITY AND PENALTIES (STRONG ENFORCEMENT)
5.1 Monetary Damages for Violation
In the event of a breach of this Agreement, you agree to be liable for financial damages. This may include:
- Statutory damages
- Actual damages incurred
- Loss of revenue
- Legal costs and enforcement expenses
5.2 Minimum Penalty Clause
For serious violations such as redistribution, resale, or piracy, Asset Library reserves the right to claim a minimum penalty equivalent to ₹50,000 INR per violation, or higher depending on the scale of misuse and damages caused.
5.3 Commercial Misuse Liability
If assets are used for unauthorized commercial distribution, you may be liable for:
- Full revenue generated from misuse
- Additional damages for intellectual property infringement
5.4 Legal Cost Recovery
You agree to bear all legal costs, including attorney fees, associated with enforcement of this Agreement in case of violation.
6. AUDIT, TRACKING, AND ENFORCEMENT RIGHTS
6.1 Monitoring and Detection
Asset Library reserves the right to monitor usage patterns, track downloads, and investigate suspicious activity to detect violations.
6.2 Audit Rights
In cases of suspected misuse, you agree to cooperate with reasonable verification requests regarding your use of assets.
6.3 DMCA and Global Enforcement
Asset Library reserves the right to issue takedown notices under applicable copyright laws, including DMCA procedures, and pursue enforcement across jurisdictions.
7. TERMINATION AND POST-TERMINATION LIABILITY
7.1 Immediate Termination
This license shall terminate immediately and without notice if you violate any provision of this Agreement.
7.2 Mandatory Compliance After Termination
Upon termination, you are legally obligated to:
- Cease all use of assets
- Delete all copies
- Remove assets from all projects where feasible
7.3 Continued Liability
Termination does not release you from liability. All violations prior to termination remain legally enforceable.
8. DISCLAIMER AND LIMITATION OF LIABILITY
8.1 No Warranty
All assets are provided “as-is” without warranties of any kind.
8.2 No Liability for Loss
Asset Library shall not be liable for any loss, damages, or business interruption arising from the use of assets.
9. GOVERNING LAW AND JURISDICTION
9.1 Applicable Law
This Agreement shall be governed by the laws of India.
9.2 Jurisdiction
All disputes shall be subject to the exclusive jurisdiction of the competent courts.
10. USER ACKNOWLEDGMENT AND LEGAL CONSENT
10.1 Full Legal Responsibility
By downloading or using assets from Asset Library, you acknowledge that you:
- Fully understand this Agreement
- Accept all restrictions and liabilities
- Agree to comply with all legal obligations
